Engaging the Marketplace

Keeping an open line of communication is essential in corporate progression, and direct engagement allows for many concerns and questions to be addressed in a new way.

The Board of Directors of Prestariang Berhad ("the Board") is committed to ensure that information and communication to investors regarding corporate matters, and financial and operational performance of the Group are accurate, timely, factual, consistent, and broadly-disseminated and where necessary, filed with regulators in accordance with applicable legal and regulatory requirements.

The Board has developed and adopted as part of its Investor Relations Policy guidelines on Stakeholder Engagement which stipulate the authorised channels and personnel through which/whom certain information of the Group shall be approved and disclosed to internal and external stakeholders.

The Policy regulates the review and release of information to regulatory authorities, facilitating timely and accurate disclosure of the Company's affairs and includes internal and external corporate communications and investor relations activities.

Financial Disclosure

The timely release of financial results on a quarterly basis provides the investment community with an up-to-date view of the Group's performance and operations. An analysts' briefing is always held after the release of the quarterly financial results to Bursa Malaysia Securities Berhad (Bursa Malaysia).

Comprehensive presentation slides are prepared for each briefing session where updates on Prestariang's business activities and its overall growth plans are presented. These slides are shared with investors upon request via email while announcements and press releases are also made available to the public via the Group's website following the disclosures made to Bursa Malaysia.

Improving Shareholder's Values

At Prestariang, we clearly identify our stakeholders with various interest groups for transparent and accountable engagement. We understand the growing importance of stakeholder relations as a discipline in order to build long term relationships with our shareholders and the wider community.

Shareholder Base

Prestariang has a shareholder base of 2,229 institutional and retail/private shareholders as at 30 December 2016. Kumpulan Wang Persaraan (Diperbadankan) and AIA Berhad remained as our substantial shareholders with equity holdings of 11.8% and 9.6% respectively of our total share capital. Foreign shareholding stood at 6.08%.

Share Performance

Our share price dipped in 2016. However, this was an anticipated decline due to the challenging market environment. The price opened at RM2.97 on 4 January 2016 and closed at RM2.06 on 30 December 2016, representing a decline of 30.64%.

Returns to Shareholders

The overriding goal and guiding principle for Prestariang is to ensure healthy returns to our shareholders year after year. We have consistently achieved this by adjusting and transforming our business strategies to suit prevailing market needs, trends and conditions. We have always remained steadfast in the belief that innovation holds the key to our future. To date, our business philosophy of embracing change as the way forward has paid dividends in increasing shareholders' value over time.

For the financial year ended 31 December 2016, the Board of Directors declared and issued four interim single-tier dividends of 0.75sen per share, amounting to a total dividend of 3.00sen per share.

Total dividend payout in 2016 was RM14.5 million constituting 161% of PAT. This augurs well for shareholders' confidence as we push forward to ensure sustainable growth and returns in our businesses portfolios.

Dividend Policy

The Board acknowledges the importance of rewarding shareholders with stable dividend growth over time.

In line with the Board's intention to create value for shareholders through a committed dividend policy, the Board of Directors has resolved and approved in February 2016 that distribution of dividends of minimum 50.00% of PAT. However, such recommendation and payments of dividends will depend upon a number of factors, as follows:-

  1. Availability of adequate distributable reserves and cash flows;
  2. Operating cash flow requirement and financial commitments;
  3. Anticipated future operating conditions, as well as future expansion, capital expenditure and investment plans; and
  4. Any material impact of tax laws and other regulatory requirements.


Actual dividends proposed and declared may vary depending on financial performance and cash flow, and may be waived if the payment of dividends would adversely affect the cash flows and operations of the Group.

Empowering Communities through Corporate Social Responsibility


Prestariang has and will continue to introduce programs aimed at building better lives, especially in the area of enhancing education opportunities. We are particularly committed to helping underprivileged children. At Prestariang, we view Corporate Responsibility ("CR") as an integral part of our overall strategies to fundamentally strengthen our business while contributing to society at the same time.

As a Shariah-Compliant counter, Prestariang is honoured to ensure that 2.5% of our annual profits go towards charitable causes such as orphanages and other homes for the aged, infirmed, underserved and underprivileged. Prestariang total sponsorship and donation for year 2016 totalled was over RM1,160,000.00. We will continue to refine our CR approach in order so that our way of empowering communities will have a longer lifelong and sustainable impact whilst incorporating sustainable and environment and working towards Company aspirations.

School Adoption Program

With the support from our Board of Directors, Prestariang continues the initiatives of the School Adoption Program. Sekolah Kebangsaan Sungai Manggis in Banting, Selangor is privileged to be the beneficiary in tandem with our corporate vision and mission. The objective of this program is to build a sustainable foundation and develop future talents for the global market.

Through planned activities, we will establish the concept of a lifelong learning environment with the aim of developing talent through technology for students of this school. This will provide greater opportunities for the youth within the community. The school adoption program enables us to identify and address any inequalities and inadequacies at this rural school in order to ensure positive learning experiences.

On 5 May 2016, Prestariang inaugurated its first School Adoption program by donating 21 units of computers to the school. Located in Banting, Selangor, the school was established in 1903 with a student population of 438 and a teaching complement of 36.

The donated computers were installed with the latest Microsoft Office Professional Plus 2016 software. Along with the handover of computers, Prestariang also helped to enhance the network infrastructure of the existing computer lab for SK Sungai Manggis.

We also conducted the IC Citizen Training and Certification program for 39 teachers at this school. The program was held from 30 May to 2 June 2016, during which 34 teachers passed and received the certification.

Yayasan Universiti Malaysia



Prestariang supports the Yayasan Universiti Malaysia with the aim of providing students from the lower income group with opportunities to further their studies in Information Technology (IT) and related fields.

The Foundation identifies and supports deserving students to continue their studies in a broad range of IT subjects. Selected students will have the opportunity to undergo either pre-university, undergraduate or post-graduate studies, which will essentially pave the way for them to build careers in the industry. In 2017, Prestariang contributed RM700,000.00 to the Foundation.

The Foundation ensures sustainable and quality education to nurture the growth of high calibre IT professionals for the future.

Tabung Pendidikan 1 Bilion (TP1B)


Prestariang remains committed to donate RM200,000 to Tabung Pendidikan 1 Bilion (TP1B) for three (3) years starting from year 2015 until 2017. TP1B allows the public, corporate and private institutions and governments to help support human capital development by giving excelled students from poor families opportunities for higher education. This is an initiative of UiTM Alumni Association of Malaysia (PAUiTM) where over half a million members once studied in the UiTM institution.

Donations such as this also has injected new vigour and determination to continue to contribute to our nation's student for the sake of advancement in the field of education. This is in line with Prestariang aspiration for lifelong learning and talent development.

Big Data Competency Centres for Sustainable Learning

There is a growing demand by the Big Data industry as experts are needed to analyse huge chunks of data for fast, effective and efficient decision making. Malaysia is in need of about 16,000 analysts and data scientists by 2020.

With solid collaboration with Ministry of Higher Education (MoHE), Prestariang seized the opportunity, by building and equipping several universities with the latest and state-of-the-art facilities that will enable universities to provide students with an optimal learning experience, equipped with the right knowledge, tools and technology for the job market. We truly believe that students are able to gain more through experiential learning and solving real problems.

There are six (6) Big Data Competency Centres are located across Malaysia at 4 universities and at 1 polytechnic, which are:

  • Universiti Utara Malaysia in Sintok, Kedah,
  • Universiti Sains Malaysia in Penang,
  • Universiti Malaysia Terengganu in Kuala Terengganu,
  • Universiti Malaysia Sarawak in Kota Samarahan,
  • Politeknik Ibrahim Sultan in Pasir Gudang, Johor, and
  • Universiti Teknologi Mara in Shah Alam

Autodesk Design Competition (AMDC)


Autodesk Design Competition (AMDC), a joint collaboration with Ministry of Higher Education (MoHE), was first introduced in 2009. AMDC started as a way to encourage students' ability in design and 3D drawings using Autodesk software and tools. The design competition utilises the Autodesk software to inspire young talents towards an innovative and creative culture.


AMDC 2016 is in its 6th year competition, the initiative has grown to attract more students who are eager to showcase their creativity and innovation in hope of emerging as winners for their categories. Over the years, the competition categories have also expanded to include students from all disciplines for undergraduates as well as postgraduates from all higher education institutions in Malaysia, including Private Higher Education Institutions.

UNIMY Overseas Internship


UNIMY's Overseas Internship Award offers final year students more than just work experience; it also offers exposure to a multicultural environment that will challenge them to adapt personally and professionally. This is another Prestariang sponsorship through UNIMY that is in-line with our vision on developing talent with technology.

Students will be given the opportunity to travel to Japan, Europe, Australia or the United States of America where they will visit and intern with universities, industry leaders or both. UNIMY has allocated three internship batches; August, January and April, where the internship period is subjected to suitability.

Dr Abu Hasan Innovation Competition (DAIC) 2016

DAIC 2106 is a platform for Universiti Sultan Zainal Abidin (UniSZA) to invite its brightest minds to showcase their innovation capability while engaging with other students from different institutions. This platform is aspired to attract talents with big ideas to get together and come up with the best disruptive innovations and solutions.

The objective of the competition is for the students to be together to tackle the challenges of the 21'st century aligned with the United Nation Sustainable Development Goals. DAIC organised by Universiti Sultan Zainal Abidin (UniSZA) where RM100,000 was sponsored by Prestariang.

Building Knowledge Societies

Knowledge and information are significant influencer on people's lives. The sharing of knowledge and information, particularly through Information and Communication Technologies (ICT) has the power to transform economies and societies.

A knowledge society generates, shares and makes available to all members of the society knowledge for long term improvement. Much like the aspirations of Prestariang that aims to build betters lives in a sustainable way through training and education.

In keeping with its business philosophy of "Transforming lives", Prestariang believes that a valuable Corporate Social Responsibility effort would be to devote its time and resources to giving back knowledge and empowerment.

CEO @ Faculty Programme, Universiti Sultan Zainal Abidin (UniSZA), Terengganu


CEO Faculty Programme ("CFP") is an initiative by the Ministry of Higher Education (MoHE). CFP brings together top local and international CEOs and industry players into Malaysia's universities to share their knowledge and experiences with students and the university community.

The CEOs, appointed as 'Adjunct Professors', have committed up to 30 hours a year of their time to provide mentorship to university students and lecturers, and even guide universities on matters such as curriculum development to ensure industry relevance. This CFP programme runs for two years with Semester 1 Session 2015-2016 and Semester 2 Session 2016-2017.

Board of Governors of University Malaysia of Computer Science and Engineering (UNIMY) took time out to mingle with UNIMY students and provide them with inspiration on how to make it in the digital economy. On 20 July 2016, the Art & Design CEO Talk Series which is jointly organised by the National Design Centre, CESTUR, UiTM Print and UiTM Photo Centre featured Dr. Abu Hasan as the event's first invited guest speaker.

The CEO was invited to share knowledge on Prestariang's strategic partnership with global IT players including Microsoft, IBM, Oracle and Adobe as well as global education institutions such as the University of Melbourne Australia-School of Engineering and the Imperial College of London.

His presentation entitled "Keeping Up with the Digital Natives, Educators must Act Now!" clearly showcased Dr. Abu Hasan's pioneering work to bridge the gap between academia and industry.

Employee Training & Development

Through the years, Prestariang's emphasis on developing its human capital through identified training programs have positively impacted the business performance as seen in its bottom line and increased employee morale.

For 2016, we focused on upgrading our human capital technical skills to meet the Company's operations and business requirements. An estimated 60% of the training allocation was spent on technical training to enhance and upgrade employees' skills as well as increasing their knowledge to face new challenges in their areas of work. Another 40% was spent on leadership, systems and Soft Skills Training to ensure our human capital are equipped with the right behavioural skills and perform ethically at all times.

The total cost spent on training for the whole group in 2016 was RM224,000.00 with an average of 8 man days training per year. It is pertinent to note that while the average man days training increased for the year in review as opposed to the corresponding year, the overall training cost was reduced. The savings of over RM30,000.00 was attributed to conducting more in-house trainings and discounted rates offered by the respective training companies for early registrations and increased number of participants.




The following are the major key trainings/courses summary for the Company:



The Company contributes 1% of total salary into the Human Resource Development Fund (HRDF) for claimable training and also allocates between RM2,000.00 and RM3,000.00 per employee for external learning and development annually.

In 2016, our employees recorded an average of 8 man days for in-house training programs, a 33% increase from 6 days in 2015.


Internship Program

Prestariang offers industrial training for undergraduates which ranges from a period of three to six months. Although priority is given to students with ICT background, final year students of any discipline who apply are assessed and streamed into the respective departments within the Group based on their education and co-curricular backgrounds.

Equal opportunity employment opportunities are also offered to underprivileged individuals from deprived backgrounds while placement programs are also offered to unemployed youths as stated in our Internship Policy.


Prestariang Skim Latihan 1Malaysia (SL1M)

Our Prestariang Skim Latihan 1Malaysia (SL1M) was recently established in August 2017. This programme is in support of the Malaysian Government's effort to raise the standard of employability amongst graduate. The objective is to develop and train Malaysian graduates to acquire both soft skills and on-the-job skills for employment readiness in the ICT industry.

Prestariang is provides necessary health benefits wellness initiative so that employees have a balanced work life, healthy and focused in order to perform the necessary duties during their tenure.

We discourage excessive work hours. Any employee that works above four (4) hours from the normal working hours will be given half day replacement leave; and if above six (6) hours will be given a full day leave. Replacement leave is encouraged to be utilised within a 3-months period. This allows employee who does put the extra effort gets extra down time to recuperate its mind as well as body. This is policy in made available in Employee Handbook in is uploaded and periodically reviewed on the internal employee portal and is accessible by all employees.

In addition to this, Prestariang's latest initiative was to engage employees with weekly exercise workout sessions with professionally trained fitness instructor. This activity was introduced in 2015 and continue throughout 2017.



To spice things up, Prestariang added a competition called Prestariang Biggest Loser Challenge where we are encouraging employees to keep fit lose weight and feel great. The reward is cash prize for groups and individual as well as a year's membership at Fitness First. This competition started on 27 April 2017 – 24 Aug 2017.



In addition to this, Prestariang commitment to safety at the workplace environment is shared across all business units and all sites. Provide suitable, comfortable and safe workplace and environment to ensure the staff has the right tools, equipment and facilities to perform their work. Flexible working time are allowed to accommodate staff needs and requirement within a specific guidelines. At the same time, we comply with the Malaysian labour laws with regards to working hours and public holidays. This policy addresses the elimination of excessive working hours/overtime.

The Company has zero accidents with regards to safety thus far.
